As the financial and regulatory environment of real estate ownership, development, operations and marketing has evolved and become more complex, our real estate practice also has become increasingly sophisticated and specialized.
The firm’s Real Estate practice group is oriented to the business needs of the broad spectrum of participants in the industry. It frequently works in tandem with its Land Use, Environmental, and Litigation practice groups to provide an integrated, full-service approach to sophisticated real estate project transactions. Coupled with the firm’s direct involvement as the authors and editors of the well-regarded treatise Miller & Starr California Real Estate 3d, the firm’s practical knowledge base and intellectual grasp of a broad range of real property issues allows for creative, effective legal representation on a cost-effective basis in a wide variety of business contexts.
Our clients are involved in every aspect of the real estate industry and include homebuilders, developers of residential, retail, mixed-use, hospitality and industrial projects of all sizes as well as national and regional retailers, banks and other financial institutions, management companies and real estate entrepreneurs as well as some of the world’s largest technology companies. Acquisitions and Dispositions
Miller Starr Regalia serves an array of developers, major corporations, governmental entities and property owners in virtually every type of real estate acquisition and disposition transaction, including large corporate campuses, office buildings, shopping centers, mixed-use projects, hotels, industrial facilities, warehouse and distribution centers, data centers, military bases, environmentally contaminated property and self-storage facilities as well as raw land for residential and commercial development. This includes structuring, negotiating and closing purchases, sales, sale-leasebacks and tax-deferred exchanges on all types of developed and undeveloped land, as well as conducting due diligence investigations, and structuring and negotiating financing and ground leasing transactions associated with these transactions.
Commercial Leasing
Our nationwide Commercial Leasing practice group regularly represents name brand tenants as well as landlords in major markets throughout the country, combining an extensive knowledge of landlord-tenant law and commercial leasing issues with a practical, balanced approach to allocating risk.
We work with lease portfolios of all sizes, scopes, and complexities, even under the most aggressive time frames. With each lease transaction, our clients benefit from the collective experience gained from representing a national client base of landlords and tenants that includes national and international largest technology companies, national and regional retail and fast food chains, national and regional developers, and private companies.
Corporate Real Estate and Facilities
Our Corporate Real Estate and Facilities practice group is dedicated to serving the needs of our corporate clients with significant nationwide real estate portfolios. In addition to many other clients, we currently serve as national real estate counsel to two of the world’s largest technology companies to assist them in executing their corporate facilities strategies throughout the country.
We have extensive experience with virtually all types of corporate facilities including office, R&D, warehouse, call center, data center, laboratory and corporate campus project. Our experience includes a full range of transactions including purchases, sales, leases, subleases, construction, financing (including industrial revenue bond financing and creating and unwinding synthetic leasing transactions), ground leases and environmental matters.
Retail Development
Miller Starr Regalia has a national practice representing developers, shopping center owners, and retailers in shopping center development and ownership, ranging from large regional malls and power centers to neighborhood commercial and mixed use projects. Our experience representing all types of retail users as well as shopping center developers in the range of retail projects provides a comprehensive understanding of the planning and structuring of such developments as well as their operations. Our retail practice encompasses everything from assisting our clients to obtain land use entitlements, structuring and negotiating development and construction agreements, reciprocal easement agreements and other shopping center covenants, and leasing out newly developed shopping centers, as well as representing landlords in big box lease negotiation. As a full-service real estate firm, our attorneys are prepared to assist our clients in all aspects of developing, owning, and operating a retail project.
Residential Development
Miller Starr Regalia has a long and distinguished history of representing national and regional homebuilders in the full spectrum of their activities, from the land acquisition, subdivision entitlement and development stages through construction, marketing and sales. This includes all sizes and types of projects from smaller, high-end residential subdivisions to large planned developments and resort properties and golf courses. We are experienced with in-fill development of all types, including multi-family housing and condominiums, affordable housing projects, and residential and mixed use developments. Our transactional attorneys are prepared to assist our clients in all aspects of developing, structuring, building and marketing of such projects, including the preparation of CC&Rs and sales documentation, Department of Real Estate processing, SB 800 compliance programs, insurance and product liability issues, brokerage and marketing issues, and project finance. Our transactional attorneys often work in concert with our experienced real estate litigation team and our environmental and land use practice group in all aspects of homebuilder representation.
Our transactional real estate attorneys are actively involved in a number of trade organizations, including the International Council of Shopping Centers (ICSC), the Urban Land Institute (ULI), the Association of Corporate Real Estate Executives (AECRE), the Homebuilders Association of Northern California (HBANC), and many other real estate organizations. Our involvement in these organizations, coupled with the knowledge we gain as the authors and editors of the Miller & Starr California Real Estate 3d, legal treatise, ensures not only that our attorneys understand our clients’ industries but that we have an unsurpassed depth of institutional knowledge of the legal framework affecting all areas of California real estate and the rapidly-changing areas of law and practice in the field.
